⚠️ Draft — requires legal review before public launch. This Terms document is a starting-point draft. Have an attorney adapt it to your state of formation, the jurisdictions you sell to, and the specific way you price and deliver Thread, before publishing.
1. Agreement
These Terms of Service ("Terms") are a contract between you and Conjuring.ai LLC ("Thread", "we", "us", "our"). By installing, downloading, accessing, or using Thread or the conjuring.ai website (together, the Services), you agree to these Terms. If you don't agree, don't use the Services.
If you're using Thread on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and your organization.
2. Eligibility
You must be at least 18 years old to use Thread. If you're between 13 and 17, you may use Thread only under a parent or guardian's supervision and with their acceptance of these Terms on your behalf.
3. The Services
Thread is a desktop task-management application for macOS. Features include task lists, boards, schedules, tags, subtasks, recurring tasks, global search, and (opt-in) AI assistance. We may add, change, or remove features over time.
Plans and pricing
- 14-day free trial — full features, no payment required
- Annual — $99/year, renews automatically until canceled
- Lifetime — $299 one-time, covers Thread 1.x for as long as we publish updates (we'll give you at least 12 months' notice before any end-of-life)
Prices are in US dollars and exclude taxes where applicable.
Free trial
Your trial starts the first time you sign in and lasts 14 days. No credit card is required. If you don't upgrade by day 14, Thread switches to read-only mode — you can still view and export your data, but can't create or edit tasks until you upgrade.
Subscriptions and renewals
Annual subscriptions renew automatically at the then-current price. You'll receive an email at least 7 days before each renewal. You can cancel anytime from Stripe's customer portal; cancellation takes effect at the end of the current billing period.
Refunds
- Annual: 14-day money-back guarantee from purchase date.
- Lifetime: 14-day money-back guarantee from purchase date.
- Monthly (if offered): non-refundable; cancel to stop future charges.
To request a refund, email billing@conjuring.ai with your order number.
4. Your license
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use Thread on devices you own or control, for your own personal or business use.
You may not:
- Copy, modify, reverse-engineer, decompile, or disassemble Thread, except to the extent that law expressly permits
- Resell, rent, lease, or sublicense Thread
- Remove or alter any copyright, trademark, or other proprietary notices
- Use Thread to build a competing product
- Use Thread in any way that violates applicable law or infringes someone else's rights
We may suspend or terminate your license if you breach these Terms.
5. Your content
You own everything you put into Thread — tasks, notes, subtasks, tags, attachments (collectively, Your Content). We claim no ownership of Your Content.
Because Thread stores Your Content locally on your device, you're responsible for backing it up. We recommend regular exports.
When you use optional features that send Your Content to third parties (AI providers, email sync, calendar sync), you grant us and those providers the limited rights necessary to carry out the feature you triggered — for example, sending a prompt to Anthropic and returning the response to you. We don't use Your Content to train any AI model.
You are solely responsible for Your Content, including its legality, accuracy, and the rights you have to use it.
6. Acceptable use
Don't use Thread:
- For anything illegal, fraudulent, or harmful to others
- To store content that violates intellectual-property, privacy, or publicity rights
- To harass, threaten, or impersonate others
- To distribute malware or probe, scan, or test the vulnerability of any system without authorization
- To circumvent license or usage limits
- To violate any applicable law or regulation
If you notice abuse, report it to abuse@conjuring.ai.
7. AI features
Thread offers optional AI features that generate text, suggestions, and summaries using large language models from third-party providers like Anthropic and OpenAI. By enabling AI features, you understand and agree that:
- AI output may be wrong. Models can hallucinate, misinterpret instructions, or produce biased or offensive content. Don't rely on AI output for medical, legal, financial, or other critical decisions without independent verification.
- AI output is not advice. Anything an AI feature says is informational, not a professional recommendation.
- You are responsible for reviewing AI actions. Features that send email, schedule meetings, or otherwise act on your behalf land in an approval queue for your review before executing.
- AI providers have their own terms. Your prompts are subject to the terms of whichever provider you selected.
We're not liable for decisions you make based on AI output.
8. Privacy
Our Privacy Policy describes what we collect and how we use it. By using the Services, you agree to that policy.
9. Updates
Thread periodically checks for and downloads updates. By using Thread, you agree that we may deliver updates, features, bug fixes, and security patches automatically. We'll never ship a security-critical update without notification, but we may ship feature updates silently.
10. Third-party services
Thread integrates with third-party services (Apple Mail, Google Calendar, Gmail, Slack, Notion, Stripe, etc.) at your option. Those services are not part of Thread, and their providers' terms and privacy policies apply. We're not responsible for third-party services and don't endorse them.
11. Our intellectual property
Thread, the Thread and Conjuring.ai names and logos, and all software, design, text, graphics, and other material we provide are owned by Conjuring.ai LLC or our licensors and are protected by copyright, trademark, and other laws. These Terms don't grant you any right in our intellectual property except the limited license in Section 4.
12. Feedback
If you send us ideas, suggestions, or other feedback, you agree we can use it without obligation to you. We won't publicly attribute feedback to you without your permission.
13. Termination
You can stop using Thread at any time. To delete your account, email privacy@conjuring.ai. We may suspend or terminate your access at any time if you breach these Terms, or if we wind down the Services.
If we terminate you for breach, we won't refund unused time. If we wind down the Services, we'll give you at least 30 days' notice and a way to export your data.
Sections 4 (after termination: no license), 5 (Your Content: you still own it), 11 (our IP), 12 (feedback), and 14–20 survive termination.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
WE DON'T WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
Some jurisdictions don't allow exclusions of implied warranties, so some of the above may not apply to you.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONJURING.AI LLC, ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.
Some jurisdictions don't allow these limitations, so some of the above may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold Conjuring.ai LLC and its officers, employees, and agents harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of: (a) Your Content, (b) your use of the Services, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
17. Governing law and venue
These Terms are governed by the laws of the State of [Delaware] without regard to conflict-of-laws principles. Any dispute not subject to arbitration (Section 18) will be resolved exclusively in the state or federal courts located in [New Castle County, Delaware].

18. Dispute resolution and arbitration
Informal resolution
Before filing a formal claim, please contact us at legal@conjuring.ai so we can try to resolve the issue informally. Most disputes can be resolved that way.
Binding arbitration
For US residents, any dispute that can't be resolved informally will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. You and we each waive the right to a jury trial and to participate in a class action. The arbitration will be held in the county where you live, or another location we agree on. The arbitrator's decision is final.
You can opt out of arbitration by sending written notice to legal@conjuring.ai within 30 days of first accepting these Terms.
Small claims
Either of us may bring a claim in small-claims court for disputes within that court's jurisdiction.
19. Changes to these Terms
We may update these Terms. When we make material changes, we'll notify you by email and show an in-app banner at least 30 days before the changes take effect. Continued use of the Services after the effective date means you accept the new Terms.
20. Miscellaneous
- Entire agreement. These Terms (plus the Privacy Policy) are the entire agreement between you and us about the Services.
- No waiver. Our failure to enforce a right isn't a waiver of it.
- Severability. If any provision is unenforceable, the rest stays in effect.
- Assignment. You can't assign these Terms; we can assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We may send notices to the email address on your account; you may send notices to legal@conjuring.ai.
- Force majeure. Neither of us is liable for delays caused by events beyond reasonable control.
